1. Parties and Roles

  1. Freemius Ltd. (6 Ha Sadna St., Ra’anana 4366406, Israel, VAT IL514969956) acts as Merchant of Record:

    • sells licences;

    • collects payments through Stripe (cards) and PayPal;

    • handles all VAT collection, reverse-charge validation and remittance;

    • issues invoices and manages chargebacks/refunds.

 

  1. Editly WP (“Vendor”, “Editly”, “we”, “us”) develops the Editly WordPress plugin, delivers updates and provides support.

  2. “Customer”, “you” = any individual or business purchasing a licence.

2. Acceptance

Downloading, installing or paying for a licence constitutes acceptance of these Terms and of the Privacy Policy.

  • Licences renew yearly unless cancelled.

  • Non-transferable except to the site owner you build for.

  • Source-code modifications allowed for your own/clients’ projects.

4. Payment, VAT & Invoicing

  1. Checkout, billing and fraud screening are handled by Freemius.

  2. Prices are shown in USD excluding VAT.

  3. EU B2C: Freemius adds the local VAT rate; EU B2B: valid VAT ID ⇒ 0 % (reverse charge).

  4. Freemius remits collected VAT via the EU OSS scheme. The tax is never paid out to the Vendor.

  5. Customers receive an invoice from Freemius Ltd. mentioning VAT or reverse-charge.

  6. The Vendor’s payouts from Freemius are VAT-free and form the net turnover the Vendor declares under French micro-entreprise rules.

5. 14-Day Money-Back Guarantee

  1. Within 14 days of purchase, open a support ticket at contact@editlywp.com.

  2. We’ll attempt to solve the issue within a reasonable time.

  3. If no satisfactory fix is found, we instruct Freemius to refund 100 % of the amount paid (incl. VAT); your licence then terminates.

  4. Refunds are unavailable if the licence key was publicly shared or if the request arrives after 14 days.

6. Updates & Roadmap

Compatibility patches within 30 days of any major Elementor or WordPress release.

Security fixes as soon as practicable.

New features released continuously; submitting suggestions grants us a royalty-free right to implement them.

8. Permitted / Prohibited Use

❌ Resell, redistribute, “nulled” share, reverse-engineer or use for illegal content.

9. Intellectual Property

Editly® trademark and source code remain the exclusive property of Editly team

10. Indemnification

You indemnify us against claims arising from misuse or violation of these Terms.

11. Termination

Breach of Terms may lead to licence suspension without refund. Clauses 9-12 survive termination.

12. Governing Law

These Terms are governed by the laws of France; exclusive venue: courts of Paris. Consumers retain mandatory protections of their local jurisdiction.
